style="box-sizing: border-box;"><br style="box-sizing: border-box;"></p><p style="box-sizing: border-box;">“关注”的职责是指理事会要尽职地监管组织的财务和关注其管理行为。要求理事准时出席会议 ;认真认真阅读理事会材料,积极发表意见;监督项目的有效性和财务状况 ;认真审查需要理事会采取行动的有关事务的信息 ;理解为采取行动向理事会提供的信息 ;严谨地管理组织的资产。</p><p style="box-sizing: border-box;"><br style="box-sizing: border-box;"></p><p style="box-sizing: border-box;">“忠诚”的职责是指在做出影响社会组织的决定时,对组织表示绝对忠诚的责任。理事会成员必须将组织的利益置于个人经济利益之上,也要置于可能与他有关联的其他组织的利益之上。与“忠诚”概念相关的一个概念是“利益冲突”。当理事会投票决定是否应该与一家公司签订合同,而恰恰有理事会成员就是拥有这家公司的人时,就可能产生利益冲突。<span style="color: rgb(255, border-box;">法律规定的主要是社会组织理事会不能做的事情,不关注组织的使命。那么,社会组织的理事会到底应该做什么呢?这就是社会组织理事会的功能性职责。许多专家已经为我们提供了有关理事会功能性职责的列表。虽然专家对理事会功能性职责有哪几项的认识有所不同,但在关于理事会应该具有的职责方面大多数列表是十分相识的。以下<span style="color: rgb(255, 104,
